Terms of Service
These Terms govern your use of medspaloop.ai and the services provided by Audire, Inc., doing business as medspaloop.ai and "MedSpa Loop" ("we", "us", "our"). By using our website or services, you agree to these Terms. If you become a client, your signed service agreement also applies. Where it conflicts with these Terms, the service agreement controls.
1. Our services
We provide marketing and automation services for medical spas, including patient reactivation campaigns, review and referral campaigns, lead follow-up, CRM setup and paid advertising management. The specific scope, deliverables and fees for each client are set out in that client's service agreement or proposal.
2. Eligibility
You must be at least 18 years old and able to enter into a binding agreement, and you must use our services only for lawful business purposes.
3. Client responsibilities
- Provide accurate information, timely approvals and the access we need to deliver the services.
- Make sure any contact lists you give us were collected lawfully, with any consent required for the messages we send on your behalf.
- Review and approve campaign messages before they go live, and keep your appointment availability and booking statuses up to date.
- Comply with laws and platform rules that apply to your business, including medical advertising rules.
4. Fees and payment
Fees, billing dates and any pilot or month-to-month terms are stated in your service agreement. Ad spend, messaging fees and third-party software costs are billed as described there. Late or failed payments may lead to paused services. Refunds, if any, are only as set out in your service agreement.
5. No guaranteed results
We work to improve your bookings, but results depend on many things outside our control, including your offers, pricing, availability, staff follow-through, market conditions and platform changes. Unless a written guarantee with specific conditions is included in your service agreement, we don't guarantee any particular number of leads, appointments, reviews or revenue.
6. Third-party platforms
Our services rely on third-party platforms such as CRM, messaging, scheduling, advertising and review platforms. Their terms apply to your use of them, and we're not responsible for their outages, policy changes or actions, such as ad or messaging restrictions.
7. Intellectual property
We keep ownership of our templates, workflows, processes and know-how. You keep ownership of your brand, content and customer data. Once paid, you may use the campaign materials we create for you in your business.
8. Confidentiality and data
Each party will keep the other's non-public business information confidential. We handle personal information as described in our Privacy Policy, and we don't sell client customer data or use it for our own marketing.
9. Limitation of liability
To the fullest extent the law allows, we aren't liable for indirect, incidental, special or consequential damages, or for lost profits or revenue. Our total liability for any claim is limited to the fees you paid us in the three months before the claim arose.
10. Indemnification
You agree to defend and indemnify us against claims arising from your content, your contact lists or consents, your services to your customers, or your breach of these Terms or applicable law.
11. Termination
Either party may end services as described in the service agreement. We may suspend services immediately if continuing would break the law or a platform's rules, or for non-payment.
12. Governing law
These Terms are governed by the laws of the State of Montana, USA, without regard to conflict-of-law rules.
13. SMS terms
If you opt in to text messages from us, our SMS Terms apply. In short: message frequency varies, message and data rates may apply, reply STOP to opt out and HELP for help, and consent is never a condition of purchase.
14. Changes
We may update these Terms from time to time. The "Last updated" date shows when they last changed.
